Terms of Use

These Terms of Use govern access to and use of the P-Hub website, private B2B portal, member services, procurement tools, pharmacy directory and related digital services.

P-Hub is operated by PHARMALINK ALLIANCE SDN. BHD., Registration No. 202601006536 (1668634-M), referred to in these Terms as “P-Hub”, “we”, “us” or “our”.

Please read these Terms carefully. By visiting the P-Hub website, creating or using an account, submitting an application, requesting a quotation, placing an order or otherwise using any part of the Platform, you confirm that you have read, understood and agreed to these Terms.

If you use the Platform on behalf of a pharmacy, company, partnership or other organisation, you represent that you are authorised to bind that organisation to these Terms.

If you do not agree with these Terms, you must not access or use the Platform.

1. Definitions

“Platform” means the P-Hub website, private B2B portal, member dashboard, catalogue, pharmacy directory, applications, digital tools and related services operated under the P-Hub brand.

“Visitor” means a person accessing publicly available parts of the Platform without an approved member account.

“Member” means a pharmacy, pharmacy operator, business or other organisation that has been approved by P-Hub to access member services or the private B2B portal.

“Supplier” means a manufacturer, distributor, wholesaler, product owner, service provider or other business supplying or proposing to supply products or services through or in connection with P-Hub.

“Business User” means an individual authorised to access or operate an account on behalf of a Member or Supplier.

“Products” means goods, services, programmes or materials displayed, offered, quoted, procured or supplied through the Platform.

“Content” means text, images, documents, product information, prices, videos, graphics, trademarks, software, directory information and other materials available through the Platform.

2. Scope of These Terms

These Terms apply to:

  • Public use of the P-Hub website.
  • Applications and expressions of interest.
  • Member and Supplier registration.
  • Approved Member accounts.
  • The private B2B catalogue and procurement tools.
  • Pharmacy directory listings.
  • Knowledge-base materials and business resources.
  • Communications submitted through the Platform.
  • Any future P-Hub website, application or digital service referring to these Terms.

Certain activities may also be governed by additional documents, including:

  • The P-Hub Privacy Policy.
  • P-Hub Procurement Terms.
  • P-Hub Professional Disclaimer.
  • Membership agreements.
  • Supplier or distribution agreements.
  • Quotations, invoices and purchase orders.
  • Product-specific terms.
  • Campaign, programme or promotional terms.

Where a signed written agreement or transaction document conflicts with these Terms, the signed agreement or transaction document will prevail for that particular relationship or transaction.

3. Business Eligibility and Authority

Private B2B access is intended only for approved pharmacy Members, existing pharmacy clients, authorised Suppliers and other organisations accepted by P-Hub.

To register or use a business account, you must:

  1. Be at least 18 years old.
  2. Have legal capacity to enter into binding agreements.
  3. Be authorised to act for the pharmacy or organisation concerned.
  4. Provide complete, accurate and current information.
  5. Hold all registrations, licences, permits and professional approvals required for your business activities.
  6. Use the Platform only for legitimate business purposes.

P-Hub may request supporting documents including business-registration records, pharmacy licences, wholesale licences, pharmacist information, authorisation letters, billing details or other verification documents.

Submission of an application does not guarantee approval.

4. Member and Supplier Approval

P-Hub may approve, reject, defer or condition any application at its discretion, subject to applicable law.

Approval may depend on factors including:

  • Business identity and ownership.
  • Pharmacy or business licensing.
  • Professional standing.
  • Existing commercial relationships.
  • Location and service capability.
  • Compliance history.
  • Product suitability.
  • Platform capacity.
  • Any other reasonable due-diligence requirement.

P-Hub may conduct periodic reverification and request updated information or supporting documents.

Member or Supplier approval does not constitute a guarantee, certification or endorsement of the applicant’s financial standing, professional services, products or regulatory compliance.

5. Account Security

Each account is issued for use by the approved Member, Supplier and its authorised Business Users.

You must:

  • Keep usernames, passwords and authentication details confidential.
  • Restrict access to authorised personnel.
  • Maintain accurate user and contact information.
  • Remove access when a staff member or representative leaves your organisation.
  • Notify P-Hub immediately of suspected unauthorised use or security incidents.
  • Use appropriate security measures on devices accessing the Platform.

You must not sell, transfer, lend, share or disclose an account to another business or unauthorised person.

Activities conducted through your account may be treated as authorised activities of your organisation unless you have previously informed P-Hub of unauthorised access.

P-Hub may require password resets, additional verification or security controls at any time.

6. Independent Businesses

P-Hub Members are independently owned and operated businesses unless expressly stated otherwise in a separate written agreement.

Membership, directory inclusion, shared branding or participation in P-Hub programmes does not automatically create:

  • A partnership.
  • A franchise relationship.
  • An employment relationship.
  • A joint venture.
  • An agency relationship.
  • Authority for one Member to bind another Member.
  • Authority for a Member to bind P-Hub.

Each Member remains independently responsible for its employees, business operations, professional services, retail pricing, customers, taxes, licences and regulatory compliance.

P-Hub does not control or replace the independent professional judgment of pharmacists or other healthcare professionals.

7. Permitted Use

You may use the Platform only:

  • For lawful business purposes.
  • In accordance with these Terms.
  • Within the access rights assigned to your account.
  • For internal evaluation, procurement and account management.
  • In accordance with applicable professional, pharmaceutical and commercial requirements.

Any permission granted under these Terms is limited, revocable, non-exclusive and non-transferable.

8. Prohibited Conduct

You must not:

  1. Use the Platform for unlawful, fraudulent or misleading purposes.
  2. Provide false, incomplete or outdated registration information.
  3. Impersonate another person, pharmacy, Supplier or organisation.
  4. Access another user’s account without permission.
  5. Share private Member pricing with the public or unauthorised parties.
  6. Circumvent approval, pricing, account or catalogue restrictions.
  7. Scrape, harvest, copy or systematically extract Platform data.
  8. Use bots, automated scripts or unauthorised software to access the Platform.
  9. Reverse-engineer, decompile or interfere with Platform software.
  10. Introduce malware, viruses or harmful code.
  11. Attempt to disrupt Platform security, servers or networks.
  12. Upload unlawful, defamatory, infringing or misleading material.
  13. Misuse another party’s intellectual property.
  14. Use Platform information to send unsolicited marketing communications.
  15. Submit patient medical records, prescriptions or sensitive health information through general enquiry forms unless P-Hub has expressly provided a secure and authorised facility for that purpose.
  16. List, procure, distribute or promote prohibited, counterfeit, unregistered, recalled, expired or unlawfully sourced Products.
  17. Use the Platform in a way that may damage P-Hub, its Members, Suppliers or reputation.

P-Hub may investigate suspected misuse and may preserve or disclose relevant information where reasonably necessary to protect the Platform, enforce these Terms, comply with law or assist the relevant authorities.

9. Competition-Law Compliance

P-Hub Members and Suppliers are independent businesses and may be competitors.

The Platform must not be used to propose, discuss, facilitate or implement any unlawful agreement concerning:

  • Retail or resale prices.
  • Minimum prices or discounts.
  • Profit margins.
  • Customer allocation.
  • Geographic market allocation.
  • Supplier or customer boycotts.
  • Limits on production, purchasing or supply.
  • Tender or bid coordination.
  • Other competitively sensitive future business strategies.

Each Member must independently determine its own retail prices, discounts, business strategy, product selection, customers and operating territory.

Procurement prices made available by P-Hub do not determine or prescribe the price at which a Member must resell a Product.

P-Hub may remove communications, restrict access, suspend accounts or report conduct where it reasonably suspects a breach of competition law.

10. Platform Services

P-Hub may provide services including:

  • Member registration and verification.
  • Private catalogue access.
  • Member procurement pricing.
  • Quote-request tools.
  • Order history.
  • Procurement coordination.
  • Pharmacy directory listings.
  • Shared branding programmes.
  • Supplier introductions.
  • Business resources and knowledge-base materials.
  • Technical support.
  • Future web, mobile or application-based services.

Features may differ between users and may be added, modified, restricted or discontinued.

P-Hub does not guarantee that every service, Product, Supplier, programme or feature will remain continuously available.

11. Catalogue and Product Information

Product listings and catalogue information are provided for B2B procurement and informational purposes.

Unless expressly stated otherwise:

  • Product displays are invitations to request a quotation or submit an order and are not binding offers.
  • Images may differ slightly from actual packaging.
  • Product specifications may be supplied by manufacturers, distributors or other third parties.
  • Pack sizes, ingredients, packaging, regulatory status and availability may change.
  • Products may be subject to minimum-order quantities, geographical restrictions or account-specific terms.
  • Displayed availability may not represent real-time stock.

Members must review the final quotation, Product label, registration status, specifications, expiry information and transaction documents before purchasing, supplying, recommending or reselling a Product.

P-Hub may correct errors, update information, remove listings or cancel an affected request where information is inaccurate or incomplete.

12. Quote Requests and Contract Formation

Submitting a quote request does not by itself create a binding purchase contract.

A quote request represents a request for P-Hub or the relevant Supplier to provide availability, pricing and commercial terms.

A binding transaction is formed only when:

  1. The applicable seller issues a written order confirmation, accepted quotation, invoice or other express acceptance; and
  2. Any required payment, purchase order, credit approval or supporting document has been received.

An automated acknowledgement confirming receipt of a request does not necessarily constitute acceptance.

P-Hub or the applicable seller may reject or cancel a request before acceptance due to:

  • Insufficient stock.
  • Pricing or listing errors.
  • Failed verification.
  • Regulatory restrictions.
  • Credit or payment issues.
  • Delivery limitations.
  • Product discontinuation.
  • Suspected fraud or misuse.
  • Events outside reasonable control.

The identity of the contracting seller and the applicable transaction terms should be stated in the quotation, invoice or order confirmation.

13. Prices, Taxes and Payment

Private catalogue prices are intended for approved Business Users and must be treated as confidential.

Unless otherwise stated, prices may:

  • Exclude delivery charges.
  • Exclude applicable taxes, duties or statutory charges.
  • Depend on order quantity, pack size, location or account classification.
  • Be subject to quotation validity periods.
  • Change before an order is accepted.

Where a displayed price is clearly incorrect, P-Hub or the seller may correct the price or cancel the affected request before fulfilment.

Payments must be made using the method and bank details stated in the official invoice or order confirmation.

Members should independently verify any unexpected change in bank-account details by contacting P-Hub through its published contact information before transferring funds.

P-Hub is not responsible for delays caused by incorrect payment references, incomplete transfers, banking interruptions or payments sent to unauthorised third parties.

14. Delivery, Risk, Title, Returns and Cancellations

Delivery times are estimates unless expressly guaranteed in writing.

Delivery, transfer of risk, ownership, acceptance, shortage claims, damaged goods, returns, refunds and cancellation rights are governed by:

  • The applicable quotation or invoice.
  • The P-Hub Procurement Terms.
  • Any Supplier-specific conditions disclosed before the order is accepted.
  • Applicable law.

Members must inspect deliveries promptly and notify the stated contact within the applicable claim period of shortages, visible damage, incorrect Products or suspected temperature-control failures.

Products must not be returned without prior authorisation except where required by law.

15. Pharmaceutical and Regulatory Responsibilities

Every Member and Supplier is responsible for understanding and complying with the laws, regulations, professional standards and licensing requirements applicable to its activities.

Where relevant, Members and Suppliers must ensure that:

  • Products are lawfully registered, notified, imported, manufactured, distributed and supplied.
  • Required licences and permits remain valid.
  • Products are sourced from authorised channels.
  • Storage, transport and handling conditions are appropriate.
  • Cold-chain or temperature requirements are maintained.
  • Batch, expiry and traceability records are preserved.
  • Controlled, scheduled, prescription-only or restricted Products are handled only by authorised persons and through lawful processes.
  • Product advertising and claims comply with applicable requirements.
  • Recalled, cancelled, expired, damaged or suspected counterfeit Products are immediately quarantined and not supplied.

Members remain responsible for dispensing, patient assessment, prescription validation, counselling, professional advice and all patient-facing services provided by their pharmacies.

P-Hub may request documentary evidence of compliance, restrict a Product, suspend procurement or cooperate with regulators where reasonably necessary.

16. Product Recalls and Safety Matters

Members and Suppliers must promptly notify P-Hub of any known:

  • Product recall.
  • Product-registration cancellation.
  • Safety alert.
  • Counterfeit concern.
  • Serious quality complaint.
  • Material labelling defect.
  • Distribution restriction.
  • Regulatory investigation affecting Products offered through P-Hub.

Affected parties must reasonably cooperate with recall, traceability, notification, stock-quarantine and return procedures.

P-Hub may remove or suspend affected Products without prior notice where necessary to protect Members, customers or the public.

17. Suppliers and Third-Party Transactions

Products may be supplied by P-Hub, an affiliated entity or an independent Supplier.

The relevant quotation, invoice or order confirmation should identify the party responsible for selling or supplying the Product.

Unless P-Hub is expressly named as the seller, P-Hub may be acting only as a platform provider, procurement coordinator or business facilitator.

In such cases, the independent Supplier remains responsible for matters including:

  • Product authenticity and legality.
  • Product descriptions and specifications.
  • Stock availability.
  • Manufacturing and Product quality.
  • Packaging and labelling.
  • Delivery fulfilment.
  • Product warranties.
  • Regulatory approvals.
  • Returns, replacements and recalls.

P-Hub’s approval of a Supplier or inclusion of a Product does not constitute an absolute guarantee or endorsement.

18. Membership, Branding and Directory Listings

Approved Members may be permitted to participate in shared branding, directory, promotional or business-support programmes.

Any right to use the P-Hub name, logo, materials or branding:

  • Is limited to the approved Member.
  • Is subject to P-Hub’s current brand guidelines.
  • Does not transfer ownership of the P-Hub brand.
  • May be suspended or withdrawn when membership ends.
  • Must not be used in a misleading manner.

Members are responsible for ensuring that their directory details, opening hours, contact information, pharmacist information, services and locations are accurate and current.

P-Hub may edit, suspend or remove a listing where information is inaccurate, outdated, misleading or inconsistent with Platform requirements.

19. Confidential Information

Users may receive non-public information through P-Hub, including:

  • Member procurement prices.
  • Supplier prices and quotations.
  • Product-launch information.
  • Account and order information.
  • Commercial programmes.
  • Procurement strategies.
  • Business documents.
  • Access credentials.
  • Other information identified as confidential or reasonably understood to be confidential.

You must:

  • Use confidential information only for the authorised business purpose.
  • Restrict access to personnel who require it.
  • Apply reasonable security measures.
  • Not disclose it publicly or to competitors or unauthorised third parties.
  • Return or delete it when access or membership ends, where reasonably requested.

These obligations do not apply to information that is lawfully public, independently developed or required to be disclosed by law.

Confidentiality obligations continue after account suspension or termination.

20. Intellectual Property

The Platform and its Content are owned by or licensed to P-Hub and are protected by applicable intellectual-property laws.

This includes:

  • The P-Hub name and logo.
  • Website design and layout.
  • Text and graphics.
  • Photographs and videos.
  • Databases and catalogue structure.
  • Software and source code.
  • Business resources and documents.
  • Branding materials.
  • Original articles and publications.

You may view and use Content only for authorised internal business purposes.

You must not copy, republish, sell, modify, distribute, frame, commercially exploit or create derivative works from Platform Content without prior written permission.

Third-party trademarks and Product materials remain the property of their respective owners.

21. Information Submitted by Users

You remain responsible for information, images, documents, listings and other materials you submit to P-Hub.

You represent that:

  • The information is accurate and lawful.
  • You have authority to submit it.
  • It does not infringe another party’s rights.
  • Necessary permissions and consents have been obtained.

You grant P-Hub a non-exclusive, royalty-free licence to store, reproduce, format and display submitted materials to the extent reasonably necessary to operate the Platform, process applications, provide directory listings, fulfil transactions or deliver agreed services.

P-Hub may remove submitted material that breaches these Terms or creates legal, regulatory or reputational risk.

22. Professional and Medical Disclaimer

P-Hub is principally a pharmacy alliance, procurement and business-support platform.

General health, pharmacy, Product or educational information published through the Platform:

  • Is provided for general information.
  • Does not constitute diagnosis or treatment.
  • Does not replace consultation with a qualified healthcare professional.
  • Must not be relied upon as patient-specific medical advice.
  • Does not override official Product labels, prescribing information or regulatory guidance.

Members and healthcare professionals must exercise their own independent professional judgment.

23. Privacy and Personal Data

P-Hub processes personal data in accordance with its Privacy Policy and applicable Malaysian data-protection requirements.

Personal data may be processed for purposes including:

  • Account registration and verification.
  • Member administration.
  • Procurement and transaction processing.
  • Directory management.
  • Supplier communication.
  • Platform security.
  • Customer support.
  • Compliance and recordkeeping.
  • Service improvement.
  • Lawful business communications.

Business Users must ensure they have lawful authority before submitting another person’s personal data.

Patient health information, prescriptions and medical records must not be uploaded through ordinary registration, quotation or enquiry forms.

Please review the P-Hub Privacy Policy for further information about data collection, use, disclosure, retention, security and individual rights.

24. Third-Party Websites and Services

The Platform may contain links to external websites, logistics providers, payment services, manufacturers, regulators or other third parties.

These services are independently operated and may have their own terms and privacy policies.

P-Hub is not responsible for the availability, security, accuracy or practices of an external website merely because it is linked through the Platform.

Users should review the applicable third-party terms before using those services.

25. Platform Availability and Security

P-Hub takes reasonable measures to operate and secure the Platform but does not guarantee that it will always be:

  • Uninterrupted.
  • Error-free.
  • Fully secure.
  • Compatible with every device.
  • Free from harmful components.
  • Available in every location.

Access may be interrupted for maintenance, security updates, technical failures, third-party outages or other operational reasons.

Users are responsible for maintaining suitable devices, internet access, backups and security controls.

26. Disclaimers

To the fullest extent permitted by law, the Platform and its Content are provided on an “as available” basis.

P-Hub does not make an absolute warranty regarding:

  • Continuous Platform availability.
  • Real-time stock accuracy.
  • Completeness of third-party Product information.
  • Suitability of a Product for a particular commercial or clinical purpose.
  • Performance of independent Members or Suppliers.
  • Future availability of any programme or benefit.
  • Business results arising from membership or Platform use.

Nothing in these Terms excludes any warranty or obligation that cannot lawfully be excluded.

27. Limitation of Liability

To the fullest extent permitted by law, P-Hub will not be liable for indirect, incidental, special, punitive or consequential loss arising from use of the Platform.

This includes loss of:

  • Profit.
  • Revenue.
  • Business opportunity.
  • Goodwill.
  • Data.
  • Anticipated savings.
  • Business continuity.

P-Hub will not be responsible for loss caused by:

  • A Member’s or Supplier’s regulatory non-compliance.
  • Independent professional or clinical decisions.
  • Unauthorised account access caused by a user’s failure to secure its credentials.
  • False or inaccurate information submitted by another user.
  • Failure of an independent Supplier, courier, payment provider or service provider.
  • A user’s failure to inspect, store or handle Products correctly.
  • Events outside P-Hub’s reasonable control.

Where P-Hub is found liable and liability may lawfully be limited, P-Hub’s aggregate liability will not exceed the greater of:

  1. The amount paid directly to P-Hub for the service giving rise to the claim during the preceding 12 months; or
  2. RM500.

This limitation does not apply to liability that cannot legally be excluded or limited.

28. Indemnity

To the extent permitted by law, you agree to indemnify P-Hub, its officers, employees and representatives against claims, losses, penalties, costs and reasonable legal expenses arising from:

  • Your breach of these Terms.
  • Your unlawful use of the Platform.
  • Information or materials you submit.
  • Your infringement of another party’s rights.
  • Your Product, pharmacy or professional activities.
  • Your failure to maintain required licences or approvals.
  • Your breach of pharmaceutical or other regulatory requirements.
  • Your misuse or unauthorised disclosure of confidential information.
  • Activities conducted through your account.

This indemnity applies only to the extent that the relevant claim was caused by your act, omission or breach.

29. Suspension and Termination

P-Hub may restrict, suspend or terminate access where reasonably necessary, including where:

  • These Terms are breached.
  • Verification documents are missing or invalid.
  • Membership or Supplier approval expires or is withdrawn.
  • Payments remain overdue.
  • Unlawful or suspicious activity is detected.
  • Platform security is threatened.
  • Confidential pricing is disclosed.
  • A professional or business licence is suspended or cancelled.
  • A user fails to cooperate with a recall or compliance review.
  • Continued access creates legal, regulatory or reputational risk.

Where appropriate, P-Hub may provide an opportunity to correct the issue. Immediate action may be taken in cases involving fraud, security, patient safety, counterfeit Products, regulatory risk or serious misconduct.

Termination does not affect rights, payment obligations or transactions that arose before termination.

Clauses concerning confidentiality, intellectual property, liability, indemnity and dispute resolution will continue after termination.

30. Force Majeure

P-Hub will not be responsible for failure or delay caused by events beyond its reasonable control, including:

  • Natural disasters.
  • Floods, fires or severe weather.
  • Epidemics or public-health emergencies.
  • War, terrorism or civil disturbance.
  • Government restrictions.
  • Regulatory intervention.
  • Labour disruption.
  • Utility failure.
  • Internet or telecommunications outages.
  • Cyberattacks despite reasonable safeguards.
  • Transport or supply-chain disruption.
  • Failure of third-party service providers.

P-Hub may suspend, extend, vary or cancel affected services or transactions where reasonably necessary.

31. Changes to the Platform or Terms

P-Hub may update the Platform, services and these Terms to reflect operational, commercial, legal, regulatory or security changes.

The revised Terms will be published with an updated revision date.

For material changes affecting registered users, P-Hub may provide notice through the Platform, account dashboard or registered email address.

Continued use after the effective date of revised Terms constitutes acceptance of the updated Terms.

32. Electronic Communications

You agree that communications, notices, quotations, invoices, approvals and transaction records may be provided electronically.

Electronic records generated through the Platform may be used as evidence of account activity, requests, communications and transactions to the extent permitted by law.

You are responsible for maintaining a current email address and regularly checking account notifications.

33. Complaints and Disputes

Questions, complaints or disputes should first be submitted to P-Hub using the contact details below.

The parties should attempt in good faith to resolve the matter through direct discussion.

If the matter cannot be resolved, either party may pursue the remedies available under Malaysian law.

34. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia.

Subject to any mandatory legal rights or jurisdictional requirements, the courts of Malaysia will have jurisdiction over disputes arising from these Terms or use of the Platform.

35. General Provisions

If any provision is found unlawful or unenforceable, it will be modified to the minimum extent necessary or removed without affecting the remaining provisions.

A failure by P-Hub to enforce a provision does not waive its right to enforce that provision later.

You may not assign or transfer your rights under these Terms without prior written consent from P-Hub.

P-Hub may assign its rights and obligations to an affiliate, successor or purchaser of the relevant business, subject to applicable law.

These Terms and the documents expressly incorporated into them form the agreement governing general Platform use.

Where translated versions are provided, the English version will prevail in the event of an inconsistency, to the extent permitted by law.
